Terms of Service

1. Acceptance of Terms
By creating an account or using codeflo.studio (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not use the Service.
2. The Service
codeflo.studio is a project management platform that combines task tracking, bug management, client CRM, finance oversight, document storage, knowledge base, and AI agent capabilities in a single workspace.
The Service is operated by “codeflo.studio” (“we”, “us”, or “our”).
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable prior notice, except in cases of emergency, security incidents, or legal requirements.
3. Accounts
- You must provide accurate registration information and keep it up to date.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at kontakt@codeflo.pl if you suspect unauthorised access to your account.
- One person or legal entity may not maintain more than one free trial account.
- You must be at least 16 years old to use the Service.
4. Subscription & Billing
Plans
The Service is offered on a subscription basis. Current plan details, pricing, and feature limits are described on the Pricing page. We reserve the right to change pricing with at least 30 days’ notice to existing subscribers.
Free Trial
New accounts receive a 14-day free trial with full access to the Service. No credit card is required to start. At the end of the trial, access is limited to the free tier unless you subscribe to a paid plan.
Payment
Payments are processed by Stripe, Inc. All subscription fees are charged in advance on a monthly or annual basis, depending on the billing cycle you select. By providing payment details, you authorise us to charge the applicable fees to your payment method.
Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused time within a billing period, except as required by applicable law.
Failed Payments
If a payment fails, we will notify you and attempt to retry the charge. If the payment is not resolved within 7 days, access to paid features will be suspended until the outstanding balance is settled.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of any third party
- Transmit spam, malware, or any malicious code
- Attempt to gain unauthorised access to the Service or its infrastructure
- Scrape, reverse-engineer, or create derivative works of the Service without written permission
- Use the Service to develop a competing product or service
- Harass, abuse, or harm other users
- Store or process data that is illegal under applicable law
- Exceed usage limits in a manner that materially degrades the Service for other users
We reserve the right to suspend or terminate accounts that violate these rules, with or without prior notice depending on severity.
6. Your Data & Content
Ownership
You retain full ownership of all data and content you create or upload to the Service (“User Content”). We do not claim any intellectual property rights over your User Content.
Licence to Operate
By using the Service, you grant codeflo.studio a limited, non-exclusive, worldwide, royalty-free licence to store, process, and transmit your User Content solely to the extent necessary to provide the Service to you.
No Training on Your Data
We do not use your workspace content, project data, or AI conversations to train machine learning models, either by us or by third-party AI providers.
Data Export & Deletion
You may request an export of your data at any time by contacting us. Upon account deletion, all your data is permanently removed from our systems within 30 days, except where retention is required by law.
7. AI Features
Bring Your Own Key (BYOK)
The AI agent feature can be configured to use your own API key for Anthropic Claude or OpenAI. Your key is encrypted at rest and is used exclusively to make API calls on your behalf. We do not share your key with any third party other than the respective AI provider.
AI Output Disclaimer
AI-generated content is produced by third-party large language models. We do not guarantee the accuracy, completeness, or fitness for any particular purpose of AI outputs. You are responsible for reviewing and verifying any AI-generated content before acting on it.
Third-party AI Provider Terms
Use of AI features is also subject to the terms of service of the underlying AI provider (Anthropic or OpenAI). By enabling AI features, you confirm that you have reviewed and agree to those terms.
8. Third-party Integrations
The Service offers integrations with third-party platforms including GitHub, Google Calendar, Google Drive, and Telegram. These integrations are provided for your convenience. Use of each integration is subject to the terms and privacy policies of the respective third-party provider. We are not responsible for the availability, accuracy, or security of third-party platforms.
You may revoke any integration at any time from your project settings.
9. Intellectual Property
The Service, including its design, software, trademarks, and documentation, is owned by codeflo.studio and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand names without our prior written consent.
10. Availability & Service Level
We aim to provide a reliable service but do not guarantee uninterrupted or error-free access. Scheduled maintenance, infrastructure updates, and events beyond our reasonable control may cause temporary unavailability. We will provide advance notice of planned maintenance where feasible.
We are not liable for losses arising from service unavailability, except as required by mandatory applicable law.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- codeflo.studio’s total liability to you for any claims arising under these Terms shall not exceed the total fees you paid to us in the 12 months preceding the claim.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by Polish law.
If you are a consumer under Polish or EU law, statutory consumer protection rights are not affected by these Terms.
12. Indemnification
You agree to indemnify and hold harmless codeflo.studio, its operators, and affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your User Content, or your misuse of the Service.
13. Termination
By You
You may close your account at any time from your account settings. Closing your account will cancel any active subscription at the end of the current billing period.
By Us
We may suspend or terminate your account immediately if you materially breach these Terms, or with 30 days’ notice for any other reason. In the event of termination without cause by us, we will refund a pro-rata portion of any prepaid subscription fees.
Effect of Termination
Upon termination, your right to access the Service ceases. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
14. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of Poland, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Poland. If you are a consumer in the EU, you may also bring proceedings in the courts of your country of residence.
EU consumers may also use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the changes, you may terminate your account before they take effect.
